In the event the PRINCIPAL enters into a joint venture, association, partnership, license agreement or other affiliation or sale of the business in whole or in part for the purpose of manufacturing and/or marketing products that are governed by this sales agreement, or in the event of the sale of the PRINCIPAL in whole or in part, PRINCIPAL covenants and warrants that AGENT shall be entitled to all commissions contemplated under this agreement in the state or territory.
