Representative further hereby submits to the personal jurisdiction of the aforementioned courts with respect to any claims relating to or arising out of this Agreement or any action or failures to act thereto, and irrevocably waives any rights or defenses it may have to the commencement or continuation of an action against it if the aforementioned courts based on lack of personal jurisdiction or improper or inconvenient venue. All judgments and orders issued by the aforementioned courts against Representative in favor of the Company may be enforced by any court in any jurisdiction in which Representative or any of its assets are located. Representative hereby further agrees that service of process may be made upon it by certified or registered mail or personal service at the address provided for in Section 11. This Agreement shall be governed by the laws of the State of California (except for its conflict of law provisions).
